Ms. Goodrow can close deals while building teams that can withstand decades of business uncertainties in joint ventures. She is fluent in Spanish and works regularly with her cross-border clients and their Spanish speaking advisors.
Family Businesses: On a daily basis, she provides practical business planning and contract advice to family owned, mid-market companies in diverse industries. She represents US and Mexican family-owned companies in manufacturing, oil field services, real estate, and private equity investments. She serves as a counselor to diverse investor groups often structuring creative plans to accommodate multiple generations of owners and the needs of passive and active investors. In this context, she often represents sellers as they exit or partially exit their growth companies in the energy business and diversify their portfolios into start-up and passive investments. Evaluation of private placement documentation and structuring of private investments is part of this practice. Ms. Goodrow often acts as the quarterback coordinating the work of accounting, financial planning, estate planning, and internal CFO leadership. Several of her family business clients are multi-national with offices in Houston and Mexico City and with advisors in each location.
Outsourced General Counsel: Ms. Goodrow’s clients also include mid-market and start-up manufacturing, upstream energy products and services, retail, restaurant, and bio-medical device companies that need practical day to day advice, angel or Series A capital, and general corporate structuring. She can be found creating internal business process to ensure best legal practices, negotiating Master Services Agreements with multi-national energy companies, presenting issues to boards, and evaluating m&a transactions for these clients. She also coordinates private, exempt securities offerings including bridge loans, angel, and founder rounds, and Series A rounds of investment in tax-efficient ways. As tax rates have risen, Ms. Goodrow has found herself advising frequently on the conversion of partnerships and LLCs into corporations.
Interesting FactsIn addition to her full-time law practice, Alicia serves as the CEO of Pantheon of Women – an independent film production company developing films that entertain, engage, and empower women and men through strong, positive stories. Pantheon of Women is a passion project for Alicia that fills her spare time – SXSW and other film festivals where their first film I Dream Too Much has played are fun weekend outings for Alicia and her family. She can frequently be found leading Girl Scouts, supporting Boy Scouts, singing in her church choir, and keeping up with her husband and kids in their busy lives.
